Based on the authors' first-hand experiences, as well as interviews with board members and chairs of myriad international organizations, this highly practical and accessible book explores how boards can become more proactive and collaborative to thrive in modern business. The persistent misconception that boards should be driven primarily by shareholder value will soon be an outdated one, and boards that continue to apply narrow interpretations of value and care are unlikely to survive.

There is no point in trying to reframe value and care for a wider range of audiences if boards don't have the right capabilities and attitudes themselves. The book shows how boards embracing this new kind of broadened fiduciary dynamism will become future-proof and realize sustained shareholder value as an output.

THE RESEARCH Based on the authors' first-hand experiences, as well as their own research and interviews with board members and chairs of international private, public and not-for-profit organizations, this highly practical and cutting-edge book delivers the necessary solutions on how to future-proof today's boards.

Very topical, insightful, inspirational even, and definitely a 'must have' for any board member and executive wanting to future-proof their organisation.

I read the book in one go and highly recommend Boards That Dare. Business leaders are said to only focus on short-term profitability and CSR has degenerated to a green washing, box-ticking exercise. Hence, the directors risk leading their companies to their demise. This creates a need for a new bread of directors that fills the governance void and also a new model go guide them.

I very much question if the above really is the status of the boards they consult to or the views held by the 61 directors interviewed for the book. To me the thesis is an overly spectacular and speculative one that misrepresents the situation.

Yes, there are bad boards and some are overly stodgy. Yes, some directors are bad. Still, most boards are in my view fairly decent and there is rarely a lack of focus on sustainability issues. This book offers one set of chapters, number 2, 3 and 4, that are well balanced and grounded in reality, flanked by chapters 1 and 5 that are sweeping, cynically un-balanced, bordering on flawed as they, in my view, label the exceptions - the bad eggs - as the majority.

The middle chapters argue for more active boards and a mix change in the time spent, from compliance towards business strategy, by doubling the hours spent on the directorship. Diversity is a key requirement in composing the board and IT-competence and CSR-competence should according to the authors be added to the boards. Narrow competences can be added on a consultancy basis. Although they might have specialties, directors in my view must be broad enough to have well grounded opinions on most issues.

However, if everything counts as sustainability issues then in reality nothing counts as sustainability issues. By doing this they will be financially successful and consequently will also reward the shareholders. Optimize for all at the same time and paradise is waiting. There is no notion of how to manage compromises between conflicting goals.

The difference is that in the original models there was a method to allocate limited resources. Since the owners receive the present value of the future residuals after all other stakeholders have been satisfied, the owners have the incentive to balance and satisfy the interests of all stakeholders.

For the past five years Mr Kent has been helping Melbourne prepare for the shocks and stresses it will face this century including crises such as the COVID pandemic. These stresses are often amplified when a sudden shock event — such as a pandemic, heatwave, bushfire or extremist act — threatens a city. Mr Kent says research into the Fukushima tsunami and nuclear accident and Hurricane Sandy in the United States showed that one of the strongest determinants of the ability of a community to cope during and after a disaster was community connectedness.
